OFFICIAL RULES AND TERMS OF OFFER

SPONSORS: The participating franchised Operators of Chick-fil-A restaurant businesses in the greater Houston, Texas area (collectively “Sponsors”).

HOW TO PARTICIPATE: Promotion begins at 6:00 AM on March 24, 2011 and ends at 10:30 AM on April 14, 2010 and only includes Thursdays – March 24, March 31, April 7 and April 14. Eligible participants should visit participating Chick-fil-A locations in the greater Houston, Texas area each Thursday (March 24, March 31, April 7 and April 14) from 6:00 AM until 10:30 AM to receive one (1) free predetermined breakfast item from Chick-fil-A’s breakfast menu, while supplies last, and mention this Promotion. Promotion on any particular Thursday listed ends at each participating location either when supplies of the predetermined breakfast item for that day are depleted, or at 10:30 AM, whichever occurs earlier. Should supplies of the predetermined breakfast item for any Thursday during this promotion become depleted, Sponsors shall not be obligated to substitute any other item or prize.

ELIGIBILITY: Offer available only to legal residents of the State of Texas. No purchase necessary. Limit one free breakfast item per person per day, regardless of location and/or number of visits, while supplies last.

Employees and their immediate family and household members (whether or not related) of Sponsors, Chick-fil-A, Inc., CFA Properties, Inc., and any Chick-fil-A, Dwarf House®, and Truett’s Grill® restaurants, and their franchised restaurant Operators, employees, affiliates, subsidiaries, advertising and promotion agencies, and all other entities or individuals associated with the development, administration, or fulfillment of this Promotion (collectively, the “Promotion Entities”) are not eligible to participate in the Promotion.

GENERAL CONDITIONS: Sponsors reserve the right, at their sole discretion, to disqualify any individual found to be tampering with the operation of the Promotion, to be acting in violation of these Official Rules, or to be acting in a non-sportsmanlike or disruptive manner, or with the intent to annoy, abuse, threaten, or harass any other person or participant. If, for any reason, the Promotion is not capable of running as planned by reason of, but not limited to, tampering, unauthorized intervention, actions by participants, fraud, or any other causes which, Sponsors, in their sole opinion, deem could corrupt or affect the administration, fairness, integrity, or proper conduct of the Promotion, or the Promotion is otherwise not capable of running as planned, Sponsors reserve the right, at their sole discretion, to cancel, terminate, modify, or suspend the Promotion. If such malfunction, error, disruption, or damage occurs, and it impairs the administration, fairness, or integrity of the Promotion, Sponsors may, in their sole discretion, suspend or terminate the Promotion or any portion thereof by posting a notice either at participating Chick-fil-A locations or on the participating locations’ individual websites; i.e., not <chick-fil-a.com>. In the event that any item, product, or service cannot be awarded for any reason, Sponsors and Promotion Entities shall not be obligated to award any item, product, or service, and Sponsors and Promotion Entities reserve the right, in their sole discretion, whether to substitute item, product, or service (or any portion thereof) with an item, product, or service of comparable or greater value or cash value.

LIMITATIONS OF LIABILITY: IN NO EVENT WILL SPONSORS OR ANY PROMOTION ENTITIES BE RESPONSIBLE OR LIABLE FOR ANY INJURIES, CLAIMS, ACTIONS, DAMAGES, LOSSES, OR LIABILITY OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES RESULTING FROM OR ARISING FROM PARTICIPATION IN, OR THE PRODUCTION, PROMOTION, OR ADMINISTRATION OF THE PROMOTION, OR ACCEPTANCE, POSSESSION, USE, MISUSE, OR NONUSE OF ANY ITEM, PRODUCT, OR SERVICE THAT MAY BE AWARDED. WITHOUT LIMITING THE FOREGOING, ALL ITEMS, PRODUCTS, AND SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO PARTICIPANTS. CHECK LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS. ANY ATTEMPT BY A PARTICIPANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD ANY SUCH ATTEMPT BE MADE, SPONSORS AND PROMOTION ENTITIES RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

NON-WAIVER: The failure or delay by Sponsors or Promotion Entities in enforcing any particular clause, provision, or aspect of these Official Rules shall not impact the validity or enforceability, or effect of any other clause, provision, or aspect of these Official Rules.

MISCELLANEOUS: By participating in this Promotion, each participant agrees to be bound by these Official Rules and the decisions and/or interpretations of Sponsors or Promotion Entities regarding the Official Rules, which are final and binding in all respects. Noncompliance with these Official Rules may result in disqualification from the Promotion. By participating in the Promotion, each participant waives any right to claim ambiguity in these Official Rules.

VENUE AND APPLICABLE LAW: This Promotion will be administered in the State of Texas, and by participating, all participants agree that: (a) the laws of the State of Texas will apply exclusively to this Promotion, and (b) any dispute with respect to this Promotion will be resolved exclusively in either the federal or state courts located in the State of Texas.
